1. Scope

1.1 These general terms and conditions apply to all orders placed by customers via the online shop chemstore.swiss of the company Zeno Filippini Technische Erzeugnisse, Via Campo die Fiori 26, CH-6942 Savosa, UID No.: CHE-115.122.061, hereinafter referred to as ZFTE. The online offer is aimed at both business customers (B2B) and private customers (B2C). Some of the products offered, marked with "For professional users only!" or "Attention! Dangerous chemical! For professional users only. No sale to private individuals!" are exclusively offered and sold to business customers (B2B).

1.2 By confirming the order, these general terms and conditions are considered accepted by the buyer.

2. Offer and contract conclusion

2.1 The presentation of the products in the online shop does not constitute a legally binding offer, but an invitation to place an order.

2.2 By clicking the button (Pay / Place order), the customer submits a binding order for all products listed on the order page.

2.3 ZFTE will confirm the order by email immediately after receiving the order. The purchase contract is concluded immediately for non-physical goods, upon delivery for physical goods, and upon provision for services.

3. Prices and shipping costs

3.1 The prices listed on the product page include the statutory value-added tax (VAT) and exclude other price components (shipping, packaging) and are quoted in Swiss francs (CHF). The exact shipping costs are displayed to the customer during the ordering process. For more information, see Payment and Shipping.

3.2 There are no additional taxes or costs.

3.3 The provider reserves the right to change prices at any time. For customers, the prices published on the website on the order date apply.

4. Delivery conditions

4.1 Delivery of physical goods is made exclusively within Switzerland and the Principality of Liechtenstein.

4.2 Swiss chemical legislation:

According to chemical regulations, substances and preparations of group 2 (such as corrosive products for the skin in connection with H314: Causes severe skin burns and eye damage) may only be delivered to adults.

The sender has the obligation to ensure before shipping the goods that the client is of legal age.

The client must provide the sender, when purchasing one of the affected products, at the first order and for the opening of the customer account, with a copy of an identification document (passport, ID card, health insurance card, or driver's license) via the Age Verification - ID Verification that proves the client's age (supported file formats: bmp, jpg, pdf, png, tiff). If the delivery address is different, the customer must upload the recipient's ID copy. Any further use of this document for age verification is excluded. After age verification, the document will be deleted.

For products subject to Swiss chemical legislation, the client agrees by accepting the general terms and conditions to fully comply with the legal regulations, especially regarding the use, storage, and disposal of the products.

4.3 The delivery period for Switzerland and the Principality of Liechtenstein is, unless otherwise stated in the offer/article/order, as follows:

- PostPac Economy SI: up to 7 working days
- PostPac Priority SI: up to 5 working days
- ADR Goods Transport: up to 7 working days
- Pickup point Zurich: up to 7 days processing time

We do our utmost to ensure prompt delivery. However, delays due to circumstances beyond our control cannot be excluded. In case of delivery delays, claims for damages or compensation are excluded. If a longer delivery period is necessary, the customer will be informed at the latest after this time has expired. If no information is provided, the customer is entitled to waive the delivery. 4.4 If not all ordered products are in stock, ZFTE is entitled to make partial deliveries.

4.5 ZFTE can offer and send or provide the customer with goods or services of equal quality and price after consultation.

4.6 If the delivery of the product fails due to the fault of the customer despite two delivery attempts or usual collection invitations by Swiss Post, ZFTE may withdraw from the contract. Any payments made will be refunded, less the incurred shipping and handling costs as well as a processing fee of CHF 20.00.

5. Payment Terms and Account Opening

5.1 Payment for customers in Switzerland and the Principality of Liechtenstein can be made by prepayment, invoice (for customers with a billing relationship), credit card, or PayPal.

5.2 To purchase goods on account by private and business customers (customers with a billing relationship), the opening of a customer account is required. To open a customer account, the following criteria must be met:

a). Credit check
The customer agrees that, to protect our legitimate interests, we may obtain a credit report from a reputable credit agency, such as Creditreform Egeli Zurich AG. For this purpose, the necessary personal or company data will be transmitted to the credit agency. If a credit report through our credit agency is not possible, for example, because no information is available, a current debt collection excerpt will be required to verify the customer's solvency.

b). Current Commercial Register Extract
Business customers must submit a current extract from the commercial register.

The opening of a customer account and the possibility of purchasing on account are at the discretion of ZFTE. We reserve the right to refuse an opening without giving reasons or to suspend an existing customer account. If the submitted documents and credit reports do not meet internal criteria, goods will only be delivered against prepayment. Any changes to contact information, such as name, address, UID, registered phone number, or email address, must be communicated to us immediately.

5.3 For security reasons, we reserve the right to refuse payment and cancel orders in the following cases:

- In case of invalid delivery address or contact details.
- If we cannot contact the person who placed the order.
- In case of doubts about the validity of the order and/or suspicion of fraudulent intentions.
- In case of violation of other provisions of the GTC.
- In case of suspicion of violation of chemical regulations.
- In case of unavailability of the ordered products.
- If previous invoices remain unpaid.
- In case of disproportionately frequent cancellations of orders by the customer.

5.4 For prepayment, the payment term is 30 days. You pay the full invoice amount in advance. After receiving your payment, we will process your order immediately. If no payment is recorded after the payment term expires, the order will be canceled without additional costs for you.

5.5 For payment by invoice, the payment term is 30 days. In the event of late payment, a default interest of 5% will be charged. The payment reminder and the first reminder by email are free of charge. For further written reminders by letter, a fee of CHF 25.00 will be charged. If the payment remains outstanding or the customer does not respond, the file will be handed over to our debt collection agency Creditreform Egeli Zurich AG. Legal proceedings remain reserved.

5.6 If we provide a preliminary service, e.g., for a purchase on account, we may obtain a credit report based on mathematical-statistical methods from Creditreform Egeli Zurich AG to protect our legitimate interests. For this purpose, we transmit the personal data required for the credit check to Creditreform Egeli Zurich AG and use the information received on the statistical probability of a payment default to make a balanced decision on the establishment, implementation, or termination of the contractual relationship.

5.7 For payment by credit card or PayPal, the customer's account is charged at the time of the order.

5.8 Offsetting with claims of the customer that are not recognized or legally established is excluded.

5.9 The customer may only exercise a right of retention insofar as the claims are based on the same contractual relationship.

6. Retention of title

The goods remain the property of ZFTE until full payment has been received. Before the transfer of ownership, pledging, transfer by way of security, processing, or transformation is not permitted without the consent of ZFTE.

7. Right of withdrawal and return

7.1 Consumers have the right to withdraw from the contract within 14 days of receiving the goods. The withdrawal must be sent in writing to ZFTE by email or letter. No justification is required. The withdrawal must be addressed to:

7.2 Exercising the right of return converts the purchase contract into a rescission relationship, under which the services received under the purchase contract must be returned. The consumer must return the received goods in their original packaging, undamaged and clean, within 14 days of purchase. Sealed or shrink-wrapped items must not be opened. The cost of returning the goods is borne by the consumer.

7.3 Upon receipt of the goods, the purchase price, if already paid, will be refunded to the consumer immediately. We reserve the right to deduct the purchase price to be refunded in case of possible damage or excessive wear and tear of the goods. No deduction will be made if the loss of value is due to a necessary handling of the goods to determine their nature, condition, and functionality. ZFTE reserves the right to refuse the refund until the goods have been returned or until the consumer has provided proof that they have sent the goods, whichever is the earlier.

7.4 The right of return is excluded for the following items:

- Individual company solutions that are clearly tailored to the personal needs of the customer: colors by sample, formulations by customer request, etc.
- Digital content whose execution occurs simultaneously with the order and which is not delivered on physical data carriers.
- Services that have already been fully provided or whose execution has already begun.

7.5 The return of normal goods and hazardous goods in limited quantities (LQ, Limited Quantities) must be addressed to:

7.6 Return of hazardous goods:

Hazardous goods transports are subject to strict legal regulations. In the event of a return of hazardous goods, we will organize and coordinate the shipment for you. This ensures that all hazardous goods shipments are carried out in full compliance with the relevant laws and regulations.

8. Warranty

8.1 ZFTE guarantees that the goods correspond to the promised characteristics, have no defects that impair their value or suitability for the intended use, and comply with the prescribed performance and specifications. ZFTE reserves the right to remedy an existing defect in the form of repair or replacement delivery.

8.2 The buyer must inspect the delivered goods as soon as possible and report any defects immediately. Our responsible customer service can be found at customerservice@chemstore.swiss.

8.3 If repair or replacement delivery fails, the customer is entitled to withdraw from the contract. This does not apply to insignificant defects. A right of the customer to a reduction is excluded.

9. Contract duration, authorizations, and termination of subscriptions

Subscriptions are concluded for a specific period. Normally, this period is twelve months. Each subscription entitles one person, unless otherwise agreed, to unrestricted use during the term of the contract. Before the subscription expires, the customer will receive an invoice for the extension of the contract for the same period. Termination must be notified in writing to ZFTE within 30 days from this date. At the same time as the termination, the access authorization expires.

10. Copyright and intellectual property rights

The content and structure of the products published by ZFTE, as well as the trademark chemstore ®, the domains chemstore.swiss, chemstore.ch and the entire online offer, are protected by copyright. Any reproduction, distribution, storage, transmission, or other dissemination of the content is expressly prohibited without the written permission of ZFTE. The use of contributions and work aids for personal use by the customer is permitted, but any complete or partial commercial dissemination requires the explicit consent of ZFTE.

11. Liability for the online connection, passwords, and confidentiality

11.1 The provider undertakes to ensure the security of the systems, programs, etc., which belong to him and which he has influence over, according to the latest technical standards, as well as to comply with the rules of data protection.

11.2 Customers are responsible for the security of the systems, programs, and data within their control. Customers undertake to treat the access data provided to the system, user names, and passwords created for this purpose strictly confidentially and with the utmost care when products made available online are ordered, and to keep them secret from third parties.

11.3 ZFTE reserves the right to terminate the usage authorization immediately after discovering multiple uses of access data by an individual user.

11.4 The provider is not liable for defects and disruptions for which he is not responsible, especially not for security deficiencies and operational failures of third-party companies with which he cooperates or on which he is dependent.

11.5 Furthermore, the provider is not liable for force majeure, improper action, and disregard of the risks by the customer or third parties, excessive strain, unsuitable operating resources of the customer or third parties, extreme environmental influences, interventions by the customer, or disruptions by third parties (viruses, worms, etc.) that occur despite the necessary current security precautions.

12. Jurisdiction and applicable law

12.1 These GTC are governed by Swiss law, in particular, the provisions of the Swiss Code of Obligations.

12.2 The legal relationships between ZFTE and customers as well as the respective business conditions are subject to Swiss law. The application of the UN Convention on Contracts for the International Sale of Goods of 11.04.1988 is excluded.

12.3 For disputes arising from these contractual relationships, the ordinary court of the provider in Lugano, Canton of Ticino, is responsible.

13. Final provisions

If parts of these general terms and conditions are invalid, the validity of the remaining provisions is not affected. The invalid provisions are replaced by the relevant statutory provisions.

14. Update and change of the General Terms and Conditions

We may change or adapt these General Terms and Conditions at any time.
